
News Topical, Digital Desk : Hearing is going on in the National Company Law Tribunal (NCLT) regarding the demerger plan of Anil Agarwal's company Vedanta Limited. The Petroleum Ministry has raised objections to Vedanta's demerger plan. While SEBI told NCLT that it is investigating Vedanta's compliance. On the other hand, the National Stock Exchange (NSE) has given a No Objection Certificate (NOC) to Vedanta's demerger application. The next hearing of this case will be on 20 August 2025.
During the month of February this year, the proposal of Vedanta demerger was approved by the shareholders. This demerger scheme was also approved by secured and unsecured creditors. Under this scheme, every shareholder will get one share each from all the separated companies.
Preparations to separate these businesses
Under this demerger process, the company has separated its five units including aluminium, oil and gas, power, steel and base metals. The purpose of this demerger is to simplify the company's structure and attract global investors. However, the Petroleum Ministry has raised objections to this plan. The ministry says that the demerger may affect Vedanta's activities in the oil and gas sector, about which more clear information is needed. SEBI's investigation SEBI has informed NCLT that it is investigating the compliance of Vedanta's demerger plan. SEBI wants to ensure that the demerger process is in accordance with the Company Act and SEBI rules. SEBI said, "We are investigating whether Vedanta has followed all the necessary information and rules." NCLT is also waiting for the completion of this investigation, which will decide on the approval of the demerger. NSE gave NOC Let us tell you that NSE has given No Objection Certificate (NOC) to Vedanta's demerger plan. Earlier, BSE also approved this plan in July 2024. The demerger process is expected to gain momentum with the approval of NSE. A Vedanta spokesperson said, "We have received approval from both BSE and NSE. We are expecting final approval from NCLT."
