
News Topical, Digital Desk : Adani Share Price: Adani Infrastructure (India) Limited has given a big update on the exchange on Tuesday. The company said in the filing that it has formally become a joint promoter by acquiring 34.41% stake in construction company PSP Projects Limited. The acquisition was completed in 2 phases on August 4 and 5, 2025 through a share purchase agreement (SPA) and open offer. This deal is a result of the announcement issued by PSP Projects in November 2024.
In this, an agreement was made between the company's promoter Prahladbhai S Patel and Adani Infrastructure to buy 30.07% of the share capital of PSP Projects. The Shareholder Agreement (SHA) was also edited, which includes the seller, Adani Infrastructure, the company and other promoters.
Under the mandatory open offer, Adani Infrastructure bought 44,86,193 equity shares (11.32% of the paid-up capital of PSP Projects) from public shareholders. At the same time, 91,53,779 shares (23.09%) were purchased from Patel under the SPA. Thus, in total, Adani Infrastructure now has 1,36,39,972 shares, which is 34.41% of the total paid-up equity capital of PSP Projects.
Adani Infrastructure PSP Projects This shareholder agreement has been fully implemented from August 5, 2025, under which Adani Infrastructure has been formally included in the promoter category along with Patel and other promoter organizations. Now Adani Infrastructure shares joint control over PSP Projects. The Board of Directors of PSP Projects registered this stake acquisition in its meeting held on August 5 and approved the re-classification of Adani Infrastructure as a promoter. In November 2024, Gautam Adani's company had decided to buy 30.07% stake in PSP Projects for Rs 685.36 crore, which will integrate Adani's capabilities in the construction sector. The existing promoters of PSP Projects hold a total stake of 60.14%, of which Prahladbhai S Patel owns 47.76% and was selling 30.07% of this stake. This acquisition is considered a big step for Adani Infrastructure's expansion in the construction sector, which will increase both the company's market position and strength.
