The updated €14.40 per share proposal upgrades an earlier tender price of €14.10 per share, which valued the transaction at approximately €3.82 billion. In September, Tata Motors rolled out a voluntary all-cash tender offer to purchase all outstanding ordinary shares of the Turin-headquartered manufacturer, establishing an acceptance window that spans from September 7 through October 26, 2026. Iveco Group’s board of directors has unanimously backed the transaction, describing the strategic combination as beneficial for long-term operational scale. Institutional and retail shareholders of Iveco are set to vote on the deal structure during an extraordinary general meeting (EGM) convened for October 16, marking a decisive legal threshold before final execution.

Addressing the pricing adjustment, Tata Motors emphasized that while the original offer reflected a fair and comprehensive assessment of Iveco’s standalone valuation, the revised cash consideration was necessary to accommodate the prolonged regulatory approval cycle. The new purchase price delivers a significant 33.47 percent premium over Iveco's benchmark share price recorded on July 17, 2025.
