In a sweeping regulatory enforcement action aimed at shielding retail capital, the Securities and Exchange Board of India (SEBI) has ordered the immediate shutdown of operations run by Growpital, an online agri-investment platform established in 2020. A formal investigation conducted by the market regulator revealed that Growpital had mobilized approximately ₹192.88 crore from 5,208 individual investors under the pretext of pooling money for high-yield commercial farming projects. SEBI determined that the business model satisfied all legal definitions of an unauthorized Collective Investment Scheme (CIS) run without mandatory statutory licenses or investor protection frameworks, prompting an immediate directive for the entity to permanently cease all investment activities.
Mandatory Full Refund With 12% Interest: Lured Retail Backers With Assured Tax-Free Returns
The platform attracted retail participants with ticket sizes beginning as low as ₹5,000, promising fixed units accompanied by guaranteed, tax-free profits supposedly generated from farm-level agricultural production. SEBI held that issuing assured returns on pooled funds without regulatory clearance constitutes an illegal investment scheme designed to mislead the public. In its final order, the market watchdog instructed Growpital and its principal promoters to refund the entire mobilized principal of ₹192.88 crore back to the 5,208 investors, mandating an additional 12 percent annual interest rate accrued from the date of initial collection until full repayment is certified.
Severe Enforcement Action: ₹26.1 Crore Penalty Imposed as Key Promoters Face 5-Year Bans
Beyond directing financial restitution, SEBI has cracked down on the key architects of the illicit funding web, slapping a cumulative penalty of ₹26.1 crore across 28 associated individuals and entities. The regulator barred eight primary individuals, including key promoter Rituraj Sharma, from accessing or trading in the securities market directly or indirectly for a period of five years. Furthermore, 20 affiliated individuals and corporate vehicles tied to the fund-diversion network have been slapped with a three-year market ban, delivering a decisive message against unregistered alternative investment platforms operating outside the boundaries of Indian capital markets.
