Breaking Down the ₹37,700 Crore Mega IPO Structure
After submitting its draft red herring prospectus (DRHP) earlier in June, Jio Platforms secured final clearance from SEBI, clearing the path for the massive market debut. Under the terms of the public issue, the company will issue up to 270 million new equity shares, accounting for approximately 2.9 percent of its total equity base.
With an estimated corporate valuation hovering around $137 billion, the scale of the IPO easily surpasses upcoming heavyweights like the National Stock Exchange. Strategic Deployment of Capital and Debt Reduction
The colossal funds mobilized through this public issue will be primarily allocated toward strengthening the company's financial sheet. A major portion of the proceeds will be utilized to fully or partially clear the outstanding debt of Reliance Jio Infocomm Limited (RJIL), the telecom operating subsidiary of Jio Platforms, while remaining capital will fund general corporate operations and future technological expansions.

Jio Platforms enters the public market backed by an elite roster of international investors who acquired multi-billion-dollar stakes during its 2020 capital-raising phase. Tech titan Meta holds a 9.99% stake following a ₹43,574 crore investment, while Google pumped in ₹33,737 crore for a 7.73% holding. Furthermore, a powerhouse consortium of global private equity and technology giants—including Silver Lake, KKR, Mubadala, Intel, and Qualcomm—previously injected ₹74,745 crore for a combined 15.2% stake. Following the IPO, Reliance Industries will retain its commanding majority stake, cementing Jio's dominance in India's digital landscape.
