Automotive forging major and defense equipment manufacturer Bharat Forge Limited has officially opened a ₹2,000 crore Qualified Institutional Placement (QIP) issue to raise fresh long-term capital from domestic and foreign institutional investors. The fund-raising exercise was authorized by the company's Investments and Strategic Business committee during its meeting convened on Thursday, September 17, 2026, which formally approved the launch along with the preliminary placement document. The company pegged the indicative floor price at ₹1,947.70 per equity share in strict compliance with the statutory pricing formula prescribed under Chapter VI of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018. With the relevant date fixed as September 17, 2026, the equity counter will remain on active market watch across the bourses as trading resumes on Friday.
Up to 5% Discount Window Approved via Postal Ballot Special Resolution
Under the enabling provisions of the regulatory framework, the Pune-based multinational manufacturer retains the discretion to offer a discount of up to 5 percent on the computed floor price to participating qualified institutional buyers. The authorization to offer this pricing flexibility was secured through a special enabling resolution passed by company shareholders via postal ballot on September 11, 2026. Management clarified that the final allotment issue price will be determined following the closure of the institutional bidding book, in mutual consultation with appointed book-running lead managers. In formal regulatory disclosures submitted to the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE), Bharat Forge confirmed the physical and digital filing of its preliminary placement documents, while noting that its internal insider trading window has remained sealed for designated persons since September 15, 2026, and will stay closed until the mandatory operational cooldown following complete transaction closure.
